3. Eligibility and Acceptance

By using Salter, the User declares that:

  • they have the legal capacity to enter into contracts;
  • they will provide truthful, complete, and updated information;
  • they will use the Platform in compliance with applicable legislation;
  • they will not use the Service for illicit, abusive, fraudulent purposes, or purposes that violate these Terms.

If the User is a minor, the use must observe applicable legislation and, when necessary, will depend on authorization and supervision from parents or legal guardians.

4. Registration, Account, and Security

4.1. Registration

Certain functionalities require the creation of an Account.

4.2. Responsibility for credentials

The Account is personal and non-transferable. The User is responsible for keeping their credentials confidential and for all activity performed through their Account.

4.3. Updating information

The User agrees to keep their registration data updated.

4.4. Misuse

The User must immediately notify ZABIX of any suspected misuse, unauthorized access, or compromise of their Account.

4.5. Protection measures

ZABIX may adopt additional verifications, preventive blocks, password resets, identity validation, or other security measures when it deems necessary.

5. Plans, Functionalities, and Access Rules

5.1. Plan structure

Salter may operate with free, paid, promotional, corporate, or special plans, with rules and limits defined by ZABIX.

5.2. Freemium Users

Freemium Users can continue accessing parts of the Platform, including legitimately accessible content and Repertoires, subject to the current functional limitations.

The Freemium plan may include, among others:

  • basic viewing of allowed content and repertoires;
  • limited access to study resources;
  • partial use of musical organization functionalities;
  • limitations on editing, versioning, saving, sharing, customization, and advanced features.

5.3. Premium Users

Premium Users will have access to the paid functionalities of the contracted plan, according to the current description on the Platform, including advanced resources for creation, editing, versioning, study, organization, customization, events, statistics, and other premium resources.

5.4. Content and functionality are distinct

The fact that the User has access to certain content or Repertoires does not necessarily mean unrestricted access to all Platform functionalities regarding that content.

Thus:

  • a User may have access to an acquired or imported Repertoire and still remain subject to their plan's limitations;
  • the acquisition or import of a Repertoire does not imply automatic subscription to a Premium plan;
  • certain functions may be exclusive to paid plans.

6. Marketplace, Discovery, and Import Environments

6.1. Existence of the Marketplace

Salter may make a Marketplace available for the disclosure, discovery, and access to official Repertoires and/or Repertoires of authorized Collaborators.

6.2. Discovery and import environments

The Platform may also make available its own environments for discovery, viewing, and import of Official Repertoires and Community Repertoires, regardless of whether there is a commercial purpose.

6.3. Curation and moderation

The publication, display, or maintenance of any Repertoire in a discovery, import, or Marketplace environment depends on ZABIX's criteria. The Company may, at any time and at its sole discretion:

  • approve or reject Repertoires and offers;
  • require adjustments to the title, description, cover, price, metadata, or commercial information;
  • restrict visibility;
  • suspend, hide, remove, block for new imports, or unpublish Repertoires;
  • revoke the Collaborator status;
  • invalidate codes or access obtained in disagreement with these Terms.

6.4. Display of information

The Platform may display, among other information:

  • Repertoire name;
  • cover image or thumbnail;
  • description;
  • name of the creator, collaborator, or producer;
  • partial or total list of music;
  • quantity of music;
  • public reference price, when applicable;
  • acquisition or import instructions;
  • contact channel;
  • estimated delivery time, when applicable;
  • other information defined by the Platform.

6.5. Nature of the Community Repertoire

The Community Repertoire is managed by users of the Platform itself. Its availability for viewing or importing does not imply a declaration, warranty, or certification by ZABIX regarding title, full legality, copyright authorization, or the absence of claims by third parties.

6.6. Internal promotional use

By publishing a Repertoire in the Marketplace or in a community environment on the Platform, the User authorizes ZABIX to display, at no additional cost, the name, description, cover, metadata, titles, previews, and other elements necessary for the internal promotion of the Repertoire on the Platform itself and in Salter's institutional materials.

7. Collaborators and Publication of Repertoires

7.1. Eligibility

Only users authorized by ZABIX may act as Collaborators for the purpose of commercialization in the Marketplace.

7.2. Nature of the authorization

The authorization to act as a Collaborator is optional, revocable, and may be granted, refused, suspended, or terminated at any time.

7.3. Collaborator's responsibilities

The Collaborator declares and warrants that:

  • they have the legitimacy to make the published content available;
  • they have the necessary rights, permissions, or authorizations;
  • the commercial information disclosed is clear, truthful, and not misleading;
  • they will maintain a functional and updated contact channel;
  • they will not use the Marketplace for fraud, piracy, misleading advertising, spam, or abusive conduct;
  • they will comply with applicable legislation, including civil, consumer, tax, copyright, and data protection standards, when applicable to their activities.

7.4. Fiscal and commercial responsibility

In cases where negotiation or payment occurs directly between the User and the Collaborator, outside of ZABIX's official channels, the Collaborator will be exclusively responsible, when applicable, for their fiscal, tax, documentary, commercial, civil, and copyright obligations related to the operation.

8. Modes of Acquisition or Access to Repertoires

8.1. Possible modes

The Repertoires available on Salter may be accessed by different means, including:

  • free access;
  • access included in a plan;
  • release by Redemption Code;
  • acquisition through an official Platform channel;
  • acquisition through direct contact with the Collaborator;
  • valid import of Official Repertoire or Community Repertoire;
  • other modes authorized by ZABIX.

8.2. “Talk to the Producer” model

When a Collaborator's Repertoire is offered through direct contact between the User and the Producer, including via WhatsApp, email, external link, or other informed channel, ZABIX will act as:

  • the application provider;
  • the environment for promoting the Repertoire;
  • the manager of the digital access infrastructure within the Platform.

In these cases, ZABIX will not automatically be a contractual party to the private negotiation between the User and the Collaborator, nor will it be responsible, for this fact alone, for:

  • charges made outside the Platform;
  • payment method agreed upon between the parties;
  • issuance of invoices, receipts, or documents by the Collaborator;
  • discounts, installments, promises, or private conditions negotiated externally;
  • financial default occurring outside of ZABIX's official channels.

8.3. Official products

When ZABIX itself makes Repertoires or official content available on its own payment channels, specific conditions may be governed by complementary rules, checkout pages, commercial policies, or additional documents.

9. Redemption Codes

9.1. Nature of the code

The Redemption Code is a mechanism for digital access release and may be subject to rules of validity, single use, expiration, blocking, or revocation.

9.2. Use of the code

The User is responsible for correctly informing the code and for using it in good faith.

9.3. Validation

The granting of access will depend on the validation of the code by the Platform, subject to the technical and operational criteria defined by ZABIX.

9.4. Invalidation

ZABIX may invalidate or block codes and access when there are indications of:

  • fraud;
  • abusive use;
  • improper duplication;
  • relevant operational error;
  • violation of these Terms;
  • legal or judicial determination;
  • technical, legal, or security risk.

10. Nature of Access to the Repertoire

10.1. Access license

The acquisition, release, import, or availability of a Repertoire on Salter confers on the User only a personal, limited, non-exclusive, non-transferable right, restricted to the Platform's environment, for personal use and in accordance with the Service's rules.

10.2. No transfer of ownership

Access to the Repertoire does not imply assignment, transfer, or acquisition of copyrights, patrimonial rights, or intellectual property rights over music, charts, arrangements, materials, or any content contained therein.

10.3. Use restrictions

Except with the express authorization of ZABIX or the rights holder, it is forbidden for the User to:

  • copy in bulk;
  • redistribute;
  • resell;
  • sublicense;
  • systematically republish;
  • share credentials;
  • export or reproduce the content on a scale incompatible with personal use;
  • use the content for illicit or undue competitive purposes.

11. Import of Official and Community Repertoires

11.1. Availability for import

The Platform may provide the User with lists, catalogs, collections, libraries, or other environments containing Official Salter Repertoires and Community Repertoires eligible for import.

11.2. Mandatory acceptance

The import of any Repertoire will depend on prior, express, and unequivocal acceptance by the User regarding the respective Import Liability Agreement, by electronic means, including checkbox, confirmation button, modal, or equivalent mechanism. Without such acceptance, the import will not be completed.

11.3. User's responsibility

By importing a Repertoire, the User declares that they understand that the imported content will be used under their responsibility, within the limits permitted by applicable legislation and these Terms, including for organization, study, preparation, private use, and other purposes compatible with the Platform.

11.4. Nature of ZABIX's activities

ZABIX provides the technological infrastructure for organization, technical availability, internal indexing, access management, moderation, and auditing of Repertoires on the Platform, not assuming, by this fact alone, the status of author, co-author, publisher, original licensor, assignee, or guarantor of the musical content inserted, published, made available, or imported by users.

11.5. Acceptance and audit log

ZABIX may register, store, and maintain, for the purposes of security, auditing, defense of rights, fraud prevention, legal compliance, and operational traceability, information related to the User's acceptance, including account identification, date and time, imported repertoire, origin of the repertoire, version of the accepted term, and related logs.

11.6. Availability in the User's environment

After the valid completion of the import, the Repertoire will be made available in the User's environment within the Platform, linked to their account and subject to the applicable rules of access, plan, visibility, moderation, and use.

11.7. Privacy by default

Imported content will be private by default in the importing User's environment, not being automatically made public, shared with third parties, globally listed, or made available in the Marketplace as an exclusive result of the import.

11.8. User's own searches

Once the import is complete, the imported content may be indexed internally by the Platform and will start to integrate the searches, filters, selections, and internal content retrieval mechanisms available to the importing User themselves, including for personal organization purposes, playlist creation, study, training, and other compatible uses of the Service.

11.9. Absence of automatic global indexing

Internal indexing of content imported for the importing User does not imply public, global, or automatic indexing for other Platform users.

11.10. Reporting, removal, and deactivation

Imported content, source content, and respective access may be subject to reporting, analysis, moderation, preventive unpublishing, removal, blocking, access deactivation, or other administrative measures by ZABIX, at any time, especially in the event of signs of legal infringement, violation of third-party rights, fraud, legal risk, violation of these Terms, or an order from a competent authority.

11.11. Recidivism

ZABIX may track reporting events, removal, misuse, irregular imports, or repeated conduct related to the use of imported Repertoires, and may apply gradual restrictions, temporary blocks, suspension of functionalities, or termination of the account, under the terms of these Terms.

11.12. Absence of assignment of rights

The import of a Repertoire does not imply assignment, transfer, or automatic regularization of any copyright, neighboring rights, or intellectual property.

12. Integrity of Marketed Repertoires

12.1. Impossibility of excluding an acquired Repertoire

Once a Marketable Repertoire has been legitimately acquired by at least one User, including through a valid Redemption Code, the Collaborator cannot definitively exclude it on their own initiative, so as to suppress the access of already authorized purchasers.

In this case, the Repertoire may only:

  • be removed from the Marketplace;
  • be unpublished;
  • have new sales ended;
  • be archived for future access preservation purposes.

The maintenance of purchaser access may be excepted only in cases of:

  • legal or judicial determination;
  • infringement of copyright or third-party rights;
  • fraud;
  • relevant legal risk;
  • critical technical necessity;
  • violation of these Terms.

12.2. Structural immutability of the marketed Repertoire

In Repertoires already marketed and used by Users, the Collaborator cannot add or delete music, nor alter the essential structure of the offered set, in a way that modifies the acquired product after commercialization.

For the purposes of these Terms, undue structural alteration is considered, among others:

  • removal of music;
  • inclusion of new music;
  • replacement of music with others;
  • substantial reduction of the content originally offered;
  • substantial expansion of the scope marketed as if it were part of the already acquired product.

12.3. Permitted minor corrections

The Collaborator may only perform minor correction edits, strictly aimed at:

  • correcting typos;
  • correcting chords, charts, lyrics, or mistaken markings;
  • adjusting small formatting issues;
  • promoting improvements in technical or didactic precision without altering the essence of the acquired content.

Such corrections may not mischaracterize the work, substantially alter the originally sold experience, or modify the composition of the acquired Repertoire.

12.4. New versions and new products

If the Collaborator wishes to offer an expanded, reduced, reformulated, or materially different version of an already marketed Repertoire, they must do so through a new Repertoire, new offer, or new product, in accordance with the Platform's rules.

12.5. Technical preservation

ZABIX may maintain records, archived versions, snapshots, or technical copies for the preservation of marketed Repertoires, for the purposes of:

  • minimal continuity of access for purchasers;
  • auditing;
  • fraud prevention;
  • dispute resolution;
  • legal compliance;
  • operational contingency.

13. User Content

13.1. Responsibility

The User is exclusively responsible for the User Content they create, insert, import, share, store, or make available on the Platform.

This responsibility also covers the use, organization, maintenance, improper sharing, republication, or any subsequent use of content imported to their account, to the extent applicable.

13.2. User's declarations

By inserting or using content on Salter, the User declares and warrants that:

  • they have the necessary rights or permissions, when required;
  • they do not infringe copyrights, trademarks, image, privacy, or other third-party rights;
  • they do not insert illicit, offensive, fraudulent, misleading, discriminatory, obscene, or abusive content;
  • they will properly configure, when available, visibility and sharing permissions.

13.3. Community Repertoire and imported content

The User acknowledges that Community Repertoires may be managed by other users of the Platform. The possible technical availability of such Repertoires for viewing or importing does not constitute a guarantee of the absence of claims, reporting, or legal limitation on the content.

13.4. Operational license to ZABIX

The User grants ZABIX a limited, non-exclusive, free license, for the period necessary for the operation of the Service, to host, store, process, display, technically reproduce, internally index, audit, and perform the acts necessary for the functioning, maintenance, security, improvement, and availability of the Platform.

14. Copyright and Reporting

14.1. Legal compliance

Salter respects applicable legislation, including Law No. 9.610/98 and Law No. 12.965/14.

14.2. Musical content and responsibility

The User, especially the Collaborator, acknowledges that repertoires, charts, lyrics, arrangements, versions, translations, and musical materials may involve third-party rights and agrees to use the Platform only in legally permitted situations.

14.3. Reporting

Anyone may report content, Repertoire, offer, or conduct that they consider illicit, infringing, misleading, abusive, or incompatible with these Terms.

14.4. Possible measures

ZABIX may, at its discretion, adopt measures such as:

  • removal or concealment of content;
  • blocking of Repertoires;
  • restriction of visibility;
  • suspension of access;
  • invalidation of codes;
  • suspension of the Account;
  • suspension of the Collaborator status;
  • termination of the Account;
  • preservation of records for defense of rights and legal compliance.

14.5. Proof

ZABIX may request proof of ownership, authorization, license, or legal basis from the User for the use of the made-available content.

14.6. Community and imported content

The rules of this Section apply equally to Community Repertoires, imported content, libraries derived from imports, and other musical materials made available or used on the Platform, even if kept in the User's private environment.

14.7. Removal after acceptance

The fact that the User has accepted the Import Liability Agreement and completed the import does not prevent the content from being subsequently restricted, unpublished, blocked, or removed by ZABIX due to reporting, legal risk, violation of third-party rights, administrative decision, legal or judicial order.

14.8. Abusive reporting

False, abusive, or bad-faith reporting may result in measures against the reporter.

15. Disputes Related to the Marketplace and Repertoires

15.1. Reporting problems

The User may report problems related to the Marketplace, import, or access to repertoires, including:

  • non-receipt of code;
  • invalid code;
  • access failure;
  • relevant discrepancy between the offer and the delivered content;
  • suspicion of fraud;
  • reports on official, community, or marketed repertoires;
  • other relevant occurrences.

15.2. Administrative action

ZABIX may, but will not be obligated to, administratively analyze the case based on the available information and evidence.

15.3. Applicable measures

Depending on the case, ZABIX may:

  • advise the parties;
  • request additional information;
  • restore or block access;
  • invalidate codes;
  • pause offers;
  • block new imports;
  • suspend Collaborators;
  • reject the complaint due to insufficient evidence;
  • adopt other compatible internal measures.

15.4. Mediation limits

ZABIX's administrative action does not, in itself, transform it into a party to the private negotiation that occurred outside the Platform, nor into an mandatory arbitrator of every dispute between the User and the Collaborator.

16. Artificial Intelligence

The Platform may use artificial intelligence, automation, and support systems for organization, suggestion, extraction, search, recommendation, classification, or support for musical study.

Such resources have an assistive character and may present limitations, inaccuracies, omissions, or inadequate interpretations. The User remains responsible for reviewing, validating, and deciding on the use of the presented results.

ZABIX does not guarantee absolute precision, suitability for a specific purpose, or the absence of errors in these resources.

17. Payments, Subscriptions, and Cancellations

17.1. Platform subscriptions

Paid plans may be billed on a monthly, annual, or other frequency informed at the time of hiring.

17.2. Payment processing

Salter payments may be processed by third-party providers, such as Stripe, or other partners. The use of these services may also be subject to the terms of the respective providers.

17.3. Renewal and cancellation

Subscriptions may have automatic renewal, unless otherwise stated. The User may cancel at any time, generally maintaining access until the end of the already paid period.

17.4. Right of withdrawal

When applicable, the right of withdrawal provided for in Brazilian legislation will be observed.

17.5. Refunds

After the legal deadline, refunds will not be mandatory, except in the event of billing error, duplication, proven relevant Platform failure, or hypotheses required by law.

17.6. Payment failure

Billing failures, default, chargebacks, card expiration, or refusal of the payment method may result in the suspension or cancellation of paid features until regularization.

17.7. External payments in Collaborator offers

In cases of direct negotiation between the User and the Collaborator, any payment made outside the Platform will not be processed or controlled by ZABIX, unless express official information states otherwise.

18. Prohibited Conduct

It is forbidden to use Salter to:

  • violate the law or third-party rights;
  • insert, import, share, or use content without authorization or without an adequate legal basis, when applicable;
  • practice piracy, fraud, or improper reverse engineering;
  • exploit vulnerabilities or circumvent security mechanisms;
  • create or distribute access codes irregularly;
  • share credentials;
  • simulate identity, connection, or non-existent authorization;
  • publish false, misleading, or abusive information;
  • scrape, collect, mine, or export data in bulk without permission;
  • use the Marketplace or community environment for scams, spam, or diversion of purpose;
  • attempt to make public, redistribute in bulk, or improperly republish private imported content;
  • harm the integrity, performance, or reputation of the Platform.

19. ZABIX Intellectual Property

Salter, its software, layout, structure, flows, design, trademarks, trade name, logos, interfaces, institutional texts, documentation, and other components of the Platform, except for third-party content and User Content, belong to ZABIX or its licensors and are protected by applicable legislation.

These Terms do not grant the User any assignment or broad license over ZABIX's intellectual property, except for the limited right to use the Platform in accordance with its purpose.

20. Privacy and Data Protection

The processing of personal data carried out in the context of Salter will observe the applicable legislation and the Platform's Privacy Policy.

By using the Service, the User acknowledges that certain data may be processed for the purposes of registration, authentication, billing, Marketplace operation, operation of Official Repertoire and Community Repertoire import flows, electronic acceptance recording, internal content indexing for the User themselves, security, fraud prevention, moderation, reporting, auditing, customer service, communications, analytics, Service improvement, regular exercise of rights, and compliance with legal obligations.

21. Content Retention for Freemium Users

For the purposes of security, organization, and sustainability of the Platform, ZABIX may remove all or part of the content stored by Freemium Users who remain without any account access for a continuous period of 12 (twelve) months, or another period that may be informed in the future.

For the purposes of this clause, access is considered any valid login made by the User.

Whenever technically feasible, ZABIX may notify the User in advance before final removal, without this constituting an absolute obligation.

The User is responsible for maintaining backup copies of the content they consider relevant.

22. Availability, Changes, and Maintenance

ZABIX will use reasonable efforts to keep Salter available, but does not guarantee continuous operation, free from failures, delays, incompatibilities, or temporary unavailability.

The Platform may undergo maintenance, updates, corrections, migrations, tests, contingencies, and technical changes, including with temporary interruptions.

23. Suspension, Restriction, and Account Termination

ZABIX may, at its sole discretion, suspend, limit, block, or terminate accounts, access, Repertoires, offers, Collaborator permissions, codes, or functionalities in the event of:

  • violation of these Terms;
  • illegal, abusive, or fraudulent use;
  • technical, legal, reputational, or security risk;
  • plausible report of infringement;
  • legal or judicial determination;
  • attempt to circumvent the Service's commercial or functional architecture;
  • default or undue chargeback;
  • need to protect the Platform, ZABIX, or third parties.

The adoption of these measures does not, in itself, generate a right to a refund, compensation, or maintenance of the Collaborator status.

The User may request the deletion of their Account, subject to the retentions necessary to comply with legal obligations, defense of rights, fraud prevention, and auditing.

24. Service Termination

ZABIX may terminate Salter in whole or in part, due to technical, economic, strategic, operational, regulatory infeasibility, or force majeure, committing, whenever reasonably possible, to notify Users with a minimum notice of 30 (thirty) days.

In the event of Service termination:

  • new subscriptions and renewals may be suspended;
  • access may be maintained until the effective termination date or until the end of the already contracted period, whichever comes first;
  • annual subscriptions may lead to an analysis of a proportional refund for the unused period, when applicable and in accordance with rules communicated by ZABIX.

24.1. Repertoires acquired from third parties

In the event of a total and definitive termination of Salter, ZABIX may make available to Users who have legitimately acquired third-party Repertoires, when technically and legally feasible, a static export in PDF or equivalent format, as a contingency measure for the minimal preservation of the acquired content.

24.2. Export limits

The export mentioned above:

  • may contain only the content legitimately accessible to the User;
  • will not include dynamic, interactive, or platform-specific functionalities;
  • may be subject to a deadline for request or download;
  • may observe technical, operational, formatting, and compatibility limits;
  • will not imply assignment of ownership or transfer of copyrights;
  • may cease to be provided in case of legal impediment, judicial decision, infringement of third-party rights, or supervening absence of legal basis for content delivery.

24.3. Collaborator authorization for contingency

When making a Marketable Repertoire available on Salter, the Collaborator authorizes ZABIX to maintain technical copies and archived versions of the content, exclusively for the purposes of Platform operation, preservation of access to purchasers, auditing, fraud prevention, administrative mediation, compliance with legal obligations, and potential contingency export under the terms of this clause.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Salter is provided on an “as is” and “as available” basis.

Without prejudice to inalienable consumer rights and the cases in which the law imposes different liability, ZABIX is not responsible for:

  • indirect damages, lost profits, loss of chance, or consequential damages;
  • third-party content, including User Content, Community Repertoires, and Collaborator content;
  • private negotiations conducted outside the Platform;
  • default between User and Collaborator in external payments;
  • failures of external contact channels, such as WhatsApp, email, links, or social networks;
  • temporary unavailability, technical failures, incompatibilities, loss of connection, third-party acts, cyberattacks, force majeure, or acts of God;
  • decisions made by the User based on content, AI, suggestions, rankings, recommendations, or information inserted by third parties.

When ZABIX's liability is legally recognized, it will be limited to the amounts actually paid by the User to ZABIX in the 12 (twelve) months prior to the event giving rise to the claim, without prejudice to the minimum rights guaranteed by law.

Nothing in these Terms excludes or limits liabilities that cannot be waived by applicable law.

26. Communications

ZABIX may send communications to the User via email, notifications on the Platform, notices on the website, banners, in-app messages, or other reasonable means.

The User is responsible for keeping their contact information updated and for following official communications.

27. Changes to these Terms

ZABIX may modify these Terms at any time to reflect legal, regulatory, technical, commercial, operational, or strategic changes.

The updated version will be made available on the Platform with an indication of the update date. When legally required or when the change is material, ZABIX may adopt additional mechanisms for awareness or acceptance.

Continued use of Salter after the new version comes into effect will constitute acceptance of the updated Terms, to the extent permitted by applicable legislation.
